Constitution of The University of Michigan Union

SPECIAL MEETING OF UNION
MEMBERS '
All members of the University
of Michigan Union are hereby
notified of ra special meeting at
7:00 p.m. on Wednesday, March
25, 1942, for the purpose of acting
on the following suggested revis-
ion of the Michigan Union Con-
stitution:
CONSTITUTION OF THE UNI-
VERSITY OF MICHIGAN UNION
I. NAME
This association shall be known
as the "University of Michigan
Union."
II. PURPOSES AND EMBLEM
The purposes of the Union are
to furnish a University social and
recreational center; to provide a
meeting place for faculty, alumni,
former students and residence
students of the University; and
to help in fitting University of
Michigan men for the perform-
ance of their duties as good cit-
izens.
The emblem of the Union shall
be a circular gold button or pin,
three-eights of an inch in diam-
eter, having upon its face an
enamelled blue block M and the
letters U-N-I-O-N raised in gold
and placed vertically.
III MEMBERSHIP
Section I
The membership shall be con-
fined to men, and this provision
shall limit all other provisions
hereof. There shall be seven class-
es of memberships, viz.: StudentI
Members; Annual Members; Life
Members; Honorary Members; Di-
rectors' Members; Summer School
Members; and Special Course
Members, as hereinafter described.
All such members have equal
rights and privileges except as
herein otherwise provided.
Only Life Members and persons
who have made a payment or
payments on applications for Life
membership and who are not in
default in respect to such pay-
ments, shall be entitled to wear
the Union emblem.
Section II. Student Members
Every student of the regular
session of the University shall be-
come a Student Member upon
paying such tuition fees as may
be prescribed by the Board of
Regents, including the portion of
such fees designated as the "Un-
ion Fee," such membership to
continue during the period for
which he has paid tuition, ex-
cept that it shall immediately ex-
pire if he withdraws from the
'University before the end of the
college year.
Section III. Annual Members
Alumni of the University, form-
er residents who were actually in
attendance therein for a period
of at least six weeks, members of
the several faculties, former mem-
bers of the faculty in actual resi-
dence for at least six weeks, form-
er regents, officers and former
officers of the University, and no
others may become Annual Mem-
bers upon application and upon
payment of the annual dues.
The annual dues for members
of the faculty shall be seven dol-
lars and fifty cents. The annual
dues for members, other than stu-
dents and members of the faculty,
who reside in Ann Arbor or with -
in sixty miles thereof (to be class-
ed as resident members), shall be
ten dollars, and for other per-
sons (to be classed as non-resi-
dent members, five dollars, in
each case payable in advance.
The membership year shall end
August 31, except in case of stu-
dents who are student members
under Paragraph 1 of Section II
of Article III
If any eligible person shall ap-
ply for annual membership at any
time after April 1, his annual dues
for the remainder of the same
fiscal year shall be one-half the
annual dues applicable to him,
The Board of Directors, in
its discretion, may change the
amount of the annual dues.
Any person who shall once be-
come a Student or an Annual
Member shall, unless expelled for
cause, be liable for the payment
of the annual dues to the close of
the fiscal year during which he
;hall have filed li; written resig-

nation.
Default for thirty clays after
written request, in the payment
of dues, will .justify expulsion by
the Board of Directors, in its dis-
cretion.
Section IV. Life Members
All students becoming Student
members after September 1, 192G,
:;hall become Life Members after
paying the prescribed tuilion lees.
including the "Union ' 'ee for
four years. Any student, who shall
be in rsice in the Univrsity
as a Student( Member after Sep-
tember 1, 1926, for less than four
years, may become a Life Member
upon the payment of the differ-
ence between fifty dollars and the
total amount of Union fees paid
by him after September 1, 1926.
Any tudent who shall be in
residence in the University as a
Student Member after September
1, 1926, and who has before that
date made partial payments on a
Life Membership subscription,
shall receive further credit to-
wards the payment of such sub-
scription for the full amount of
the Union fees thereafter paid by
him. Upon his completion of the
payment of the amounts required
to become a Life Member, every
student shall be exempt from
further fees for membership.
All other obligations for Life
Membership subscriptions incur-
red before September, 1926, shall
remain in full force and be gov-
erned by this Article as it read
before this amendment, except
that any person who has made

vote of the members present, elect
to honorary membership any per-
son who shall be voted to have
rendered distinguished service to
the University.
c) Honorary Members, without
payment of dues, shall be en-
titled to all the privileges of Life
Members, except that they shall
not, as such, be permitted to vote
or hold office in the Union.
Section VI. Directors' Members
Persons not otherwise eligible
for membership in the Union, may
become Directors' Members by
vote of the Board of Directors,
but only under the following cir -
cumstances. Any persons desiring
such membership shall present to
the Board of Directors his written
application therefor, in prescrib-
ed form. As soon as such appli-
cation shall be filed, the Record-
ing Secretary shall give' notice
therof by mail to each member of
the Board of Directors, stating the
name and residence of the appli-
cant and the names of his en-
dorsers. At least ten days shall
elapse after the presentation of
any such application to the Board
of Directors, before the Board
shall vote thereon. By affirma-
tive vote of not less than a major-
ity of the entire Board of Direc-
tors, any such applicant may be
admitted as follows:
1) Directors' Annual Members
Upon payment to the Union
within thirty days after such
vote, of an application fee of
at least one hundred dollars.
and agreement to be under ob-
ligation to pay also annual dues
of twenty-five dollars in equal
semi-annual installments, pay-
able in advance or or as of Sep-
tember .1 and March 1, respec-
tively, until he shall have tend-
ered his written resignation. In
case of default in respect of any
such installments, he shall for-
feit such membership, at the
option of the Board of Direc-
ters. Such membership shall be
subject to termination at any
time if and when the Board of
Directors, for any reason, ex-
pressed or unexpressed, shall
vote to terminate such mem-
bership and shall cause to be
tendered to the person concern-
ed an amount equal to the said
application fee, with notice of
such vote.
2) Directors' Life Members
Under payment to the Union,
within thirty days after such
vote, of at least five hundred
dollars.
Directors' Members shall be en-
titled to all the privileges of An-
nual Members, except that they
shall not. be permitted to vote or
hold office in the Union.
The number of Directors' Mem-
bers shall at no time exceed five
hundred non-resident nor two
hundred resident members, as
hereinbefore classified, except by
written affirmative vote of the
entire membership of the Board of
Directors and of the Finance Com-
mittee.
Section VII. Summer School
Members
Any student in actual attend-
ance at a summer session of the
University or any member of a
summer session faculty may be-
come a summer school member,
entitled during the summer ses-
sion only to all rights and priv-
ileges of annual members (exeept
the privilege of voting or holding
office> upon paying such summer
dues as the Board of Regents may
provide.
Section VIII. Special Course
Members
A student in actual attendance
and regularly entered as such, in
a special course from time to time
established by authority of the
Regents, requiring not exceeding
a semester's attendance, may be-
{'ome a Speciial Course Member,
entitled, during the period of such

Summer School Members, upon
making application in the pre-
scribed form and paying special
course dies of two dollars for each

Section II.
The Board of Direct oirs, excrpt
as herein otherwise provided, shall
have full power to supervise and
cont rAl all[he activities of the

ed or expelled or refused the priv-
ileges of the Union Building or
any part thereof, or refused par-
ticipation in Union activities; and
it shall have-power to enforce its
determination. Before any such
determination, the Recording Sec-
retary shall send to the member
a statement of the charges pre-
ferred against him, and, on his
prompt request, he shall be grant-
ed a hearing before the Board of
Directors or a Committee thereof.
It may also determine by a like
vote when any such member shall
be reinstated. It may fill vacan-
cies in its membership and in
offices of the Union held by stu-
dents.
Section II.
Meetings of the Board of Direc-
tors may be called by the Presi-
dent or by any seven members.
V. COMMITTEES OF THE
BOARD OF DIRECTORS
Section I. Finance Committee
There shall be a Finance Com-
mittee, which shall consist of (a)
the Regent member of the Board
of Directors, ex officio; (b) the
President of [he Union, ex officio;
te) the Financial Secretary of the
Union, ex officio: d) the Dean
of Students, ex officio; (e the
Recording Secretary, ex officio;
f) two non-student members of
the Board of Directors, each a
resident of Ann Arbor- to be ap-
pointed by the Appointments Com-
inittee. The Financial Secretary
shall be Chairman of the commit-
tee.
The Finance Committee shall be
directly responsible to the Board
of Regents of the University and
shall have full control over all
financial matters relating to the
Union; including power to bor-
row money from time to time and
authorize a conveyance of any oi
all the property of the Union to
the Board of Regents of the Uni-
versity, subject to any spicified
liens and on such stipulations adl
conditions as the committee may
prescribe; power to appoint dis-
charge, and direct a General Man-
ager and to fix his compensation.
Section I. Activities Committee
There shall be an Activities
Committee which shall consist of:
(a) the President of the Union,
ex officio; (b the Recording Sec-
retary of the Union, ex officio; (e)
the Junior Executive Council.
The ~Junior Executive Council
shall be composed of students
chosen by the President andlRe-
cording Secretary of the Union.
It shall meet at the call of the
President and shall consider mat-
. ters presented to it by him or by
any of its members. The President
is the Chairman and he is respon-
Fible for the efficiency of the stu-
dent organization. The activities
of the Council are subject to the
approval of the Board of Direc-
tors and its reports are made to
that body by the President.
This Committee shall handle all
matters pertaining to student ac-
tivities, and it shall operate on a
separate budget appropriated for
its use.
Section III. House Committee
There shall be a House Com-
mittee appointed by the Appoint-
ments Committee. which will act'
in co-operation with the General
Manager, in such matters as may
arise in connection with the Un-
ion, other than those coming un-
der the Jurisdict ion of the FE-
nance Committee or of the Ac-
tivities Committee. The House
Committee shall be directly re-
sponsible to the Board of Direc-
tors.

two student members and one fac-
ulty member of the Board of
Directors.

VII. GENERALI MANAGECR

the orderly con duct of all finali-
cial affairs of He Union, shall be
the treasurer of a I1 its conmmitnees,
shall be it.s purchasing agent, and
shall have power to select, dis-
charge and fix [le compensation
and duties of all paid employees of
the Union. He shall be required to
furnish a bond with corporate
surety, in form and amount sat-

sor. He shall at all times have
access, personally and by a rep-
resentative chosen by him, to all
books and records of the Union.
He shall counter-sign all drafts
and checks of the Union which
shall have been signed by its Gen-
eral Manager and which he, the
Financial Secretary, shall deter-
mine to be authorized and proper.
From time to time he shall make
reports to the Board of Directors,
respecting the income, expendi-
tures and financial conditions of
the Union, and make such recom-
mendations as he shall consider
proper. He shall be required to
furnish a bond, as in the case of
the General Manager.
IX. RECORDING SECRETARY
It shall be the duty of the Re-
cording Secretary, (1) to make
suitable records of all Union meet-
ings and of all meetings of its
Board of Directors, and to see that
such records are properly pre-
served; (2) by suitable notices to
those given power to select or ap-
point, to see that the membership
of the Board of Directors is kept
filled, that a Nominating Com-
mittee is appointed. and that such
a committee duly file its nomina-
[ions: '3) to give due publicity, as
herein elsewhere provided, to all
nominations; (4 to cause due
notice of all annual and special
meetings of the Union to be given;
(5 to give notices of meetings of
the Board of Directors in accord-
ance with its directions; (6) to be
ex-officio member of the Finance
Committee, the Activities Com-
mittee, and the Appointments
Committee: and (7) to preside in
the absence of the President.
X. CHOICE OF STUDENT
OFFICERS
Section I. Selections Committee
The President of the Union and
its Recording Secretary, to be
students, are to be appointed by
a committee composed of the Dean
of Students, ex-officio; three fac-
ulty or alumni members; and
three student members chosen
from the six Vice-Presidents. The
faculty, alumni and student mem-
bers shall be appointed by the
Appointments Committee. The
Dean of Students shall be Chair-
man of the Selections Committee.
This Selection Committee shall
at a meeting on the second Sat-
urday preceeding all-campus elec-
tions, or at a postponement of
such meeting, elect a President
and Recording Secretary for the
ensuing year. Such elections shall
be by a majority vote of the en-
tire committee. The elected offi-
cers shall take office immediate-
ly.
Section II. Nominating
Committee
Not later than the second Sat-
urday in April in each year, the
Appointments Committee shall ap-
point a Nominating Committee,
of five student members of the
Union, not more than one of whom
shall be a member of the Board
of Directors and none of whom
shall, if he accepts, be eligible to
election, at the then forthcoming
election, to any office of the Un-
ion. It shall be the duty of the
Nominating Committe, not later
than the last Saturday before All-
Campus Elections by a suitable
document to be filed with the
Chairman of the Men's Judiciary
Council. to nominate, from the
student-body, officers for the en-
suing year, as follows:
At least two candidates for each
of the Vice-President, six in all,
one for (a the College of Litera-
ture, Science and the Arts and
the Graduate School, (ib for the
College of Engineering and Archi-
tecture, (c) for the Medical
School, (d) for the Law Schoo',
(e) foi' the College of Dental Sur-
gery, and (f) foi' the iemaining
schools and colleges; the candi-
dates for Vice-Presidents to be
stiudenits in good standing in the
respective schools or' olleges which
they are nominated to represent.
Section III. Nomination by
Petition
Any two hundred members of
the Union, by signing a petition
and filing' it,.properly signed, with
the Chairman of the Men's Ju-
dieiary Conmcil at. or before 9:00

'The annual election of the six
Vice-Presidents as above provided
shall be held on the day of All-
Campus Elections under the sup-
ervision of the Chairman of the
Mci's Judiciary Council.
Section VI. Voting
The polls for such election slahl
be kept )open during the hours
designatdc( by the Men's Judiciary
Council. There shall be no voting
by proxy. Each student member
shall be entitled to vote for one
(amndidate for Vice-President for
the college or school in which he
shall then be a student. The per-
son receiving the greatest number
of votes for each office shall be
declared elected thereto. In case
of a tie for any office, the selection
shall be made by the Men's Judic-
iary Council.
Section VII.
The new Vice- Presidents shall
assume their duties at the first
meeting of the Board of Directors
following their election.

such written request. At such
meeting, no action shall be taken
on any other matter.
XII. QUORUM
Four hundred Union members
entitled to vote shall constitute a
quorum of the Union: ten mem-
bers of the Board of Directors, a
quorum of such Board, and the
majority of the members of any
Committee of the Board, a quorum
of such committee.
XIII. AMENDMENTS
Amendments to this Constitu-
tion, not in violation of the Ar-
ticles of Association, may be
adopted only at a special meeting
of the Union, after due notice as
hereinbefore provided in Article
XI, at which a quorum is present,
by the affirmative vote of not less
than three-quarters of the mem-
bers present and voting.
