The vast majority of my asset protection
planning clients have been business owners,
real estate developers and professionals
such as doctors and corporate executives.
However, a recent trend has developed in
which corporations have also been looking to
benefit from asset protection planning in order
to better position both themselves and their
owners in this volatile economic climate. In the
typical situation, a corporation has substantial
cash on hand and is interested in ensuring that
the cash is protected from unexpected claims of
random creditors.
You may be aware
of domestic asset
protection trusts (a
"DAPT') in which an
individual transfers
valuable assets to the
DAPT and thereafter
those assets are
protected from the
individual's creditors.

Since a DAPT cannot be
created under Michigan law, I utilize out-of-
state jurisdictions, such as Delaware, where
local trust law allows an individual to both
establish and be a beneficiary of the trust.
However, Delaware also allows for the use of
asset protection trusts for corporations.
A Delaware asset protection trust for a
corporation is substantially similar to one that
is created for an individual. The trust allows for
substantial flexibility for both the corporation
and its owners. Just like with all corporate and
asset protection planning, the key to any plan
that utilizes a Delaware asset protection trust
is the development of a fundamentally sound
and practical approach that considers the needs
and objectives of the parties. The ability to
incorporate a Delaware asset protection trust
into the planning process certainly provides
exciting opportunities for corporations with
assets that may be in need of protection.
