NEW ARTICLE XV. INDEMNIFICATION AND LIABILITY

NEW PARAGRAPHS ADDED AS FOLLOWS:
1. VOLUNTEER DIRECTORS. A volunteer director (as defined in
the Michigan Non-Profit Corporation Act) shall not be personally
liable to the organization or its members for monetary damages for
breach of the director's fiduciary duty. However, this provision does
not eliminate or limit the liability of a director for any of the following:
(a) a breach of the director's duty of loyalty to the organization or
its members;
(b) acts or omissions not in good faith or that involve international
misconduct or a knowing violation of law;
(c) a violation of Section 551 of the Michigan Non Profit Act, as
amended;
(d) a transaction from which the director derived an improper per-
sonal benefit; or
(e) an act or omission that is grossly negligent.
Any repeal or modification of this Article XV Section 1. shall not
adversely affect any right or protection of any volunteer director of
the organization pursuant to this Article XV existing at the time of,
or for or with respect to, any acts or ommissions ocurring before the
effective date of such repeal or modification.

The organization shall indemnify any person who was or is a party
or threatened to be made a party to any threatened, pending or com-
pleted action, suit or proceeding, whether civil, criminal, administrative
or investigative, by reason of the fact that they are or were a director
or officer of the organization, or are or were serving at the request
of the organization as a director or officer, against expenses (including
legal fees), judgments, fines and amounts paid in settlement actually
and reasonably incurred by them in connection with such action, suit
or proceeding if they acted in good faith and in a manner they
reasonably believed to be in or not opposed to the best interests of
the organization, and with respect to any criminal action or proceeding,
had no reasonable cause to believe their conduct was unlawful. This
right of indemnification shall inure to each director or officer at the
time such costs or expense are imposed or incurred, and whether or
not the claim asserted against him is based on matters which antedate
the adoption of this Article and Section of these Bylaws and in the
event of his death shall extend to his legal representative. Each per-
son who shall act as a director or officer shall be deemed to be doing
so in reliance upon such right of indemnification; and such right shall
not be exclusive of any other right which he may have.
