JEWISH WELFARE FEDERATION
WOMEN'S DIVISION OF DETROIT

CONSIDERATION OF AMENDMENTS TO
THE BY-LAWS OF WOMEN'S DIVISION

Pursuant to the By-laws of the JEWISH WELFARE FEDERATION of DETROIT the text of
amendments to said By-laws are herewith published. The membership of the Federation
Women's Division will meet Thursday, May 12, 1983 at 9:30 a.m. at the Annual Meeting,
held in Shaarey Zedek Synagogue, 27375 Bell Road, Southfield, Michigan to vote on adoption.

ARTICLE IV

Purpose: To clarify prerequisites to Board membership.

By changing Sec. la to read as follows:
"The business of this Women's Division shall be carried on by a Board of Directors, con-
sisting of fifty-four [54] elected directors, and all other women serving on the Board of
Governors of the Jewish Welfare Federation of Detroit, the Board of the Women's Divi-
sion of the United Jewish Appeal, the Young Women's Leadership Cabinet of the United
Jewish Appeal, the Women's Division of the Council of Jewish Federations and all former
presidents of the Women's Division. The Women's Division may also elect special honor-
ary directors. Of the regularly elected directors, eighteen [18] shall be elected annually for
a term of three [3] years each. No director shall serve more than two [2] consecutive
terms unless she is either in office or Associate Campaign Chairman in the last year .of her
second term, in which case she may be elected for an additional term. In addition, the
Chairman of the Women's Division, Allied Jewish Campaign shall serve a Board term of
three [3] years following the completion of her tenure as Campaign Chairman."

Purpose: To include Detroit area members of the United Jewish Appeal Young Women's
Leadership Cabinet on the Board of Directors.

By changing Sec. 2 to read as follows:
"A Board member is expected to attend all Board and general meetings of the Women's
Division annually. Absence from three [3] consecutive Board meetings without prior notice
shall be considered as resignation from the Board. She shall, in addition, be expected to
share the responsibility for fund raising campaigns and be involved in Women's Division
educational programs."

Purpose: to provide a job description and guidelines to the nominating committee in filling Board
positions.

ARTICLE VI

By adding Sec. 3 to read as follows: _
"The Nominating Committee shall consider Board members and officers for nomination to
additional terms based upon ongoing service to Women's Division and fulfillment of
assigned responsibilities."

Purpose: To provide guidelines to the nominating committee in filling Board poSitions.
