Says Stockholders
Opposing Gas Co's
Plan for Pipeline
Stockholders of American Light
Transaction Co., owner of Michi-
gan Consolidated Gas Co., are
opposing the plans of Michigan
Consolidated for construction of an
$84,000,000 natural gas pipe line
system from the southwest to
Michigan.
They are charging that a scheme
is in progress to "shove down the
throats" of such stockholders
shares of stock in the proposed
pipe line company, in the place of
cash to which they are entitled, as
a process in the dissolution of their
company.
This challenge was flung to the
individuals comprising the man-
agements of American Light &
Traction and of Michigan Consoli-
lated during recent hearings before
the Securities Exchange Commis-
sion in Philadelphia. The Stock-
holder spokesman was Alfred A.
Cook, New York City attorney for
Allied Chemical & Dye Corp.,
owner of 234,000 shares for pre-
ferred stock of American Light &
Traction Co.
American Light and Traction is
also the largest single holder of
the common stock of Detroit Edi-
son Co., but is being required by
the federal commission to dispose
of that ownership. The Commis-
sion has refused to permit the stock
to be sold, however, as the means
of financing Michigan Consoli-
dated's pipe line project.
Under public utility holdin g
company act requirements, the
American Light & Traction is fac-
ing dissolution. The stockholder
represented by Cook is resisting
the use of company funds for the
proposed pipe line construction,
referring to it as of "an untried or
speculative nature."
Michigan Consolidated is seek-
ing federal permission to construct
its own pipe line system, which
could not be completed before 1952.
The City of Detroit, • however, is
asking federal approval of Pan-
handle Eastern's expansion pro-
gram.
